Dividend Distribution Policy
The Company shall target a dividend payout of at least 50% of its distributable net income as cash. This policy will be subject to the Company’s cash projections, business outlook, investment plans and capital market conditions. The actual dividend decision will be made for each fiscal year separately with the approval of the General Assembly of Shareholders. Dividend distribution shall be started on a date to be determined by the General Assembly of Shareholders which shall not be later than the end of the respective year in which the General Assembly convenes. The Company, in accordance with laws and regulations, may consider distributing advance dividends or making the dividend payment in equal or unequal installments.
Additionally, in order to create added value for its shareholders, the Company may also consider share repurchase programs depending on the conditions set forth above and applicable regulation.

Why Fight Against Bribery and Corruption (ABC) is Important?
- Our Company is under responsibility of complying with the national and international legislations regarding ABC.
- As we are also listed on New York Stock Exchange managing our relationship especially with public authorities and officials in line with the relevant legislation is of vital importance for our Company.
- Our Company has zero tolerance for bribery and corruption and carrying out Company operations in a fair and honest manner and in line with legal and ethical rules is a must.
- Our Board of Directors adopted an ABC Policy and within this framework we are running a robust ABC Program.
Our Expectations from Turkcell Ecosystem
- Being aware of and implementing the ABC Policy,
- Asking necessary questions if any rule contained in the Policy or any process in a specific case is unclear,
- Managing and monitoring business activities carried out through third parties as required by the ABC Policy,
- Immediately reporting any non-compliant conduct and suspected cases via Turkcell’s notification channels.
