Turkcell has historically prepared and presented its consolidated financial statements
on a consolidated basis in accordance with US GAAP in US dollars for purposes of
reporting to the Securities and Exchange Commission ("SEC") of USA and in New Turkish
Lira ("TRY") in accordance with Turkish GAAP and Turkish Capital Market Board ("CMB")
requirements in Turkey.
Starting from the first quarter of 2006, consolidated financial results of Turkcell
are reported in accordance with IFRS in US dollars to international markets and
in accordance with IFRS in TRY in line with the requirements of CMB in the local
market.
What accounting convention does Turkcell adhere to?
We have historically maintained our books of account and prepared our statutory
financial statements in Turkish Lira (prior to January 1, 2005) or New Turkish Lira
(from January 1, 2005 onward) in accordance with Turkish Accounting Principles promulgated
under the Turkish Commercial Code and Turkish tax legislation. We have periodically
prepared Financial statements based on Capital Markets Board Communiqué Serial XI
No:25 and USGAAP on quarterly basis and Annual Reports once a year and submitted
them to relevant authorities until the end of 31 December 2005.
It is decided that IFRS will be adopted for the Financial Statements starting from
the first quarter of 2006 on a quarterly basis and Annual Reports once a year for
both Capital Markets Board of Turkey and Securities Exchange Commission.

In line with Company policies, the Annual General Assembly meetings are being
held as suggested by the regulation and the Annual General Assembly was held on May 8, 2009.
Did Turkcell pay out any dividends in 2008?
Until 2003, Turkcell did not make any dividend payments due to our previous accumulated
loss under previous Capital Market Board ("CMB") accounting standards. The CMB has
adopted new accounting standards in 2003, which are generally in compliance with
International Financial Reporting Standards ("IFRS"). Turkcell adopted these accounting
standards as of and for the year ended December 31, 2003 for CMB reporting purposes.
Turkcell reported accumulated profit according to the new accounting standards.
Accordingly, Turkcell paid out dividends in 2004, 2005, 2006, 2007 and 2008.
On May 8, 2009, on the Annual General Assembly of Turkcell, dividend distribution
